Exclusive Listing Contract.

(hereinafter called THE OWNER)
Mr. David Fernandez of Spanish nationality, with domicile at …………………., holder of valid NIE number , acting as Agent/Director of the Spanish Company ……….., with CIF ……………., operating under the commercial name “LuxuryForSale.Properties”
(hereinafter called THE AGENT)

{hereinafter called THE PROPERTY)
That according with the aforesaid, both parties agree to execute this present Contract in accordance with the following:
CONDITIONS
1. – THE SELLER grants permission to THE AGENT to conduct the sale of THE PROPERTY described above for a period of …… months. This permission is granted on an EXCLUSIVITY basis.
2. – This contract will have a minimum duration equivalent to the period established in the Condition 1.
3. – If on the agreed expiry date, the PROPERTY has not been sold and no written notification has been received from THE SELLER, the sales arrangement will be tacitly understood to be extended for the same period of time and under the same conditions.
4. – In accordance with current legislation and prior to the commencement of advertising the property by THE AGENT, THE SELLER shall deliver to THE AGENT the following documentation: Certificate of Energy Efficiency, Nata Simple, copy of Title Deeds, last receipt of IBI, water invoices and last receipt of Community of Owners.
5. – THE SELLER authorizes THE AGENT to offer THE PROPERTY for sale, at the retail price of ……………………… EUROS. It is understood that the property is sold free of charges and encumbrances, free of leases and occupants and up to date in the payment of contributions, services, and supplies.
6. – THE SELLER shall pay THE AGENT a commission from the sale of THE PROPERTY, which is set at …… % of the selling price plus the applicable VAT. This commission will accrue if the sale is made during the term of the contract or its extensions, whether THE AGENT has intermediated in the transaction or not. It shall also hold if the sale is made once the contract has ended, in favour of any of the clients presented by THE AGENT during the term of the contract. The commission shall be paid to THE AGENT simultaneously to the granting of the Purchase and Sale Title Deed in favour of the purchaser. THE AGENT is expressly empowered to negotiate, assign in whole or in part the commission corresponding to him with other intermediaries in the transaction.
7.- It shall be understood that all clients notified to THE SELLER in the following e-mail: ……………………………… are clients presented by THE AGENT, for the purposes of accrual of the commission once the contract has ended.
8.- THE SELLER has the obligation to:
– Inform THE AGENT in written of any change in the price or conditions of sale.
– Facilitate THE AGENT and potential buyers the access to THE PROPERTY and maintain it in a correct state of conservation and cleanliness.
– Allow THE AGENT to place board on the outside of the property with the indication “For Sale” and contact details of THE AGENT.
9.- THE SELLER is to receive on its behalf, as depositary, any amount delivered by a possible buyer as a reservation or deposit. This amount will be paid into their legal representative’s client account until the signing of a Private Purchase and Sale Contract between THE SELLER and the possible buyer.
10.- THE SELLER will be obliged to pay the total commission accrued to THE AGENT if, once the sale has been agreed upon in a price and terms accepted by THE SELLER, the former decides not to sell or to formalize the agreed sale. He must also return double of all amounts received on account of the price.
In the event that, in breach of the exclusivity agreement, THE SELLER advertises THE PROPERTY, and at a lower price than that set out in this agreement, the commission will accrue in proportion to the price
established in this contract.
11.- THE AGENT may carry out all the necessary formalities, such as advertising in the press, internet, MLS, Social Media, email marketing and other means of promotion, in order to complete the sale. The advertising cost will be covered by THE AGENT.
12.- Furniture.
13. With renunciation to the legal forum that could correspond to them, both parts submit to the Courts and Tribunals of Marbella and its jurisdiction.
And as proof of agreement both parties sign the present contract in duplicate in Marbella on the …… / ……. / 202….
THE SELLER expressly authorizes us to include in its files and process all the personal data provided to it for the maintenance of the future contractual relationship, the preparation of statistical studies and the sending of commercial information. These data will remain in spainforsale SL files and will be subject, by written request of the interested party, to the rights of access, rectification, cancellation, and opposition in accordance with current legislation.
